1. Acceptance. By accessing this website or communicating, transacting, or contracting with Jovari (“Jovari,” “we,” “us”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use this website.

2. No Offer of Securities. Nothing on this website or in our materials constitutes an offer to sell, or a solicitation of an offer to buy, any securities, and nothing herein constitutes investment, legal, or tax advice.

3. Concept Imagery. Images, video, and animations on this website may be created or modified manually or with artificial-intelligence tools in order to explain concepts, and are illustrative concept media — not representations of real-life photographs, existing products, or delivered goods.

4. Intellectual Property. The ideas, systems, designs, and mechanisms described on this website are protected by patents and patents pending, and by copyright, trademark, and trade-secret law. All rights reserved. No license is granted by access to this website.

5. Product-Specific Terms. The Jovari J1 hypercar, Jetspeed, Jetpower, and each of Jovari’s individually licensable products and intellectual property are each subject to their own terms and conditions, available upon request to interested partners and buyers, which govern any purchase, license, or other engagement relating to that product.

6. Beta Designs; Changes. All designs shown are “beta” and subject to change. Specifications, features, timelines, pricing, team, partners, and all other details are subject to change at any time without notice.

7. Projections & Estimates. Performance figures and other projections — including speed, efficiency, fuel and energy use, range, turnaround times, and cost savings — are based on mathematics, modeling, and estimation, and actual results may differ in real-world scenarios and conditions.

8. Early-Stage Company. Jovari is an early-stage startup. Any investment, purchase, or contract with Jovari carries increased risk, as with any new company, including the risk of delay, redesign, or failure to deliver, and you accept such risks.

9. No Warranties; Limitation of Liability. This website and its contents are provided “as is” without warranties of any kind. To the maximum extent permitted by law, Jovari and its officers shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or relating to this website or these Terms.

10. Indemnification. You agree to indemnify, defend, and hold harmless Jovari and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from or relating to your use of this website, your breach of these Terms, or your violation of any law or the rights of any third party.

11. Dispute Resolution; Binding Arbitration. At Jovari’s sole election, any dispute, claim, or controversy arising from or relating to this website, these Terms, or any dealing with Jovari may be moved to and finally resolved by binding arbitration administered by JAMS in Miami Beach, Florida, or by binding arbitration seated in Tel Aviv, Israel, in each case before a single arbitrator. You waive any right to a jury trial and to participate in any class or representative proceeding. Jovari may appear and be represented in any such arbitration by an officer of the company, who need not be an attorney. To the maximum extent permitted by law and the rules of the administering body, the party adverse to Jovari shall be responsible for one hundred percent (100%) of all arbitration fees, administrative costs, and arbitrator compensation.

12. Governing Law. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles; arbitration seated in Tel Aviv shall be conducted under the arbitration law of Israel.

13. Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
